    Re: Resignation ∓ Appointment of Directors

    The Directors of SWIP Private Equity Fund of Funds II plc. (the "Company") wish to announce the resignation of Mr. John Brett from the Board of Directors of the Company, for business reasons, with effect from 11 November, 2011.

    The Directors also wish to announce the appointment of Mr. Andrew November as a Director of the Company, with effect from 11 November, 2011.


    Mr. Andrew November

    Andrew November(British). Mr November is the Director of Equities for Scottish Widows Investment Partnership Limited (SWIP), a position held since 2010. He is a director of SWIP and also a member of SWIP's Executive Committee. Mr November joined SWIP (formerly Hill Samuel Asset Management Limited) in 1996 and has over 21 years experience of working in the investment funds industry. From 2009 to 2010 he was Director of Investment Solutions and from 2003 to 2009 he was Director of Fixed Income and Real Estate (Euronext: SRE.NX - news) . From 2000 to 2003 Mr November was Head of Institutional Funds and Head of Global Strategy and from 1996 to 2000 he was Head of Global Sector Strategy and International Funds Fund Manager. Prior to joining SWIP, Mr November worked with Lazards Brothers Asset Management from 1994 to 1996 and with Confederation Life from 1990 to 1994. He has an MSc (KOSDAQ: 009780.KQ - news) in Applied Economics from the University of California at Santa Cruz, USA, a BA in Chinese and Economics from the University of Leeds and is an Associate Member of the Society of Investment Professionals.

    Andrew November has never:

    (i) had any unspent convictions in relation to indictable offences; or

    (ii) been bankrupt or the subject of a voluntary arrangement, or has had a receiver appointed to any of his assets; or

    (iii) been a director of any company which, while he was a director with an executive function or within 12 months after he ceased to be a director with an executive function, had a receiver appointed or went into compulsory liquidation, creditors voluntary liquidation, administration or company voluntary arrangements, or made any composition or arrangements with its creditors generally or with any class of its creditors; or

    (iv) been a partner of any partnership, which while he was a partner or within 12 months after he ceased to be a partner, went into compulsory liquidation, administration or partnership voluntary arrangement, or had a receiver appointed to any partnership asset;

    (v) had any public criticism by statutory or regulatory authorities (including recognised professional bodies); or

    (vi) been disqualified by a court from acting as a director or from acting in the management or conduct of affairs of any company.
