BUZZ-Shell Midstream Partners: Prices upsized equity offering

** Royal Dutch Shell (Xetra: A0ET6Q - news) affiliate's units down 2.7 pct as MLP (LSE: 0NDP.L - news) upsizes its previously announced follow-on

** Shell Midstream Partners offers 11 mln common units, or about 7.2 pct of total outstanding, at $31.75, a 6.7 pct discount to Tuesday's $34.03 last sale

** Deal increased from 8.5 mln units and prices at top end of $30.75-$31.75 range marketed by sole bookrunner Barclays (LSE: BARC.L - news)

** MLP to use proceeds to pay down $458.2 mln of outstanding borrowings under a credit facility used to fund drop-down asset purchases from parent Royal Dutch Shell (http://1.usa.gov/1Rga17L)

** SHLX units have fallen 18 pct so far this year vs a decline of 6 pct for the benchmark Alerian MLP index
