** OPKO HEALTH INC (NYSE: OPK - news) , $17.46, -8.68 pct

OPKO Health offered to buy the clinical testing service provider in an all-stock deal valued at about $1.47 billion, or $52.58 per share. Offer represents a premium of 60 percent to Bio-Reference's close on Wednesday.

The investment management company priced an offering of 1.8 million shares at $15.65 each - a 2.5 pct discount to their Wednesday close. The offering represented about 11.4 percent of outstanding shares. The company had 15.7 million shares outstanding, according to Thomson Reuters data.

** SHILOH INDUSTRIES INC (NasdaqGS: SHLO - news) , $13.07, +31.09 pct

The provider of noise- and vibration-reducing products to automotive markets reported a 34 percent rise in second-quarter revenue, helped by acquisitions.

** DISH NETWORK CORP (NasdaqGS: DISH - news) , $75.09, +6.04 pct

** T-MOBILE US INC, $40, +4.36 pct

Dish was in talks to merge with T-Mobile, in a deal that would combine the second-largest satellite TV operator in the United States with the fourth-largest wireless carrier, the Wall Street Journal reported. However, a purchase price and the structure of the deal were still undecided, the newspaper said, citing people familiar with the matter.

** BIGLARI HOLDINGS INC (NYSE: BH - news) , $411.78, +11.39 pct

Lion Fund II LP offers to buy 575,000 shares of the Steak 'n Shake restaurant chain owner Biglari Holdings's common stock for $420 per share. The offer price represents 13.6 percent premium to Biglari's Wednesday close.

** J M SMUCKER CO, $115.15, -2.57 pct

The maker of Jif peanut butter and Smucker's jams reported a lower-than-expected fourth-quarter profit, hurt by higher green coffee costs and lower U.S. demand for Folgers coffee. The company also forecast full-year sales and profit below analysts' average estimate.

** VERIZON COMMUNICATIONS INC (Xetra: 868402 - news) , $48.28, -1.63 pct

JP Morgan cut its rating on the telecom company's stock to "neutral" from "overweight".

** AVEO ONCOLOGY, $2.57, +10.78 pct

The cancer drug developer receives written support from members of European health regulator CHMP favoring company's potential marketing application for kidney cancer drug.

** AERCAP HOLDINGS NV, $48.8, -3.06 pct

** AMERICAN INTERNATIONAL GROUP INC, $60.59, -0.85 pct

The insurer AIG hastened efforts to sell stake in aircraft leasing company AerCap Holdings. AIG sold 71.2 million AerCap shares, upsized from 50 million, for $3.5 billion through a public offering at $49 each.

** GEVO INC (OTC BB: GEVNW - news) , $3.74, +10.00 pct

The chemical and biofuel makers said it would make jet fuels from wood-based waste products. Gevo's wood waste-based biofuel will be tested in a demo flight by Northwest Advanced Renewables Alliance.

** DARA BIOSCIENCES INC (NasdaqCM: DARA - news) , $0.9489, +17.45 pct

Midatech Pharma Plc (LSE: MTPH.L - news) will buy the drugmaker for about $23.7 million. It will also pay up to $5.7 million to Dara shareholders in 2017 and 2018 on attainment of some sales milestones. The offer price of $1.20 per share, excluding milestone payments, represented a 48 percent premium to Dara's Wednesday close.

** FIREEYE INC (NasdaqGS: FEYE - news) , $48.41, +1.51 pct

At least four brokerages raised their price targets on the cybersecurity company's stock. Visa Inc (Xetra: A0NC7B - news) said on Wednesday it would develop tools with FireEye to help protect customers against cyber attacks targeting payment data.

** MOLYCORP INC (NYSE: MCP - news) , $0.3102, -24.25 pct

The rare earth miner plans to file for bankruptcy protection this month, Wall Street Journal reports, citing people familiar with situation. Molycorp missed interest payment on Monday, triggering concerns that it could file for bankruptcy.

** LIONS GATE ENTERTAINMENT CORP, $34.7, +2.66 pct

Lions Gate could buy television network Starz and other "free radicals" in the industry, media mogul John Malone told the Wall Street Journal.
