The Dow Jones industrial average was down 1.07 percent at 17,818.53 and the S&P 500 was down 0.82 percent at 2,074.43.

** KRAFT FOODS GROUP INC, $82.9201, +35.21 pct

The maker of Velveeta cheese and Oscar Mayer meats will merge with ketchup maker H.J. Heinz Co, owned by 3G Capital (Other OTC: CGHC - news) and Berkshire Hathaway Inc (Sao Paolo: BERK34.SA - news) , to form North America's third-largest food and beverage company.

** LEXMARK INTERNATIONAL INC (NYSE: LXK - news) , $43.13, +5.74 pct

Lexmark, known for its printers, said it would buy Kofax in an about $1 billion deal that would double the size of its enterprise software business.

At least three brokerages raise price targets on Kofax by as much as $3 to as much as $11. Analysts at Cannacord Genuity said they see few regulatory hurdles for the deal and that the takeover price is an attractive exit for Kofax investors.

** APOLLO EDUCATION GROUP INC, $20.46, -26.90 pct

The for-profit education provider's revenue fell for the fifteenth straight quarter as it enrolled fewer students, and the company forecast current-quarter revenue below analysts' expectations.

** LPATH INC (NasdaqCM: LPTN - news) , $2.4501, -25.07 pct

The drug developer said on Tuesday its experimental drug to treat renal cell carcinoma, the most common form of kidney cancer, failed to meet its main goal in a mid-stage trial.

** CHRISTOPHER & BANKS CORP, $5.29, -9.73 pct

The women's apparel retailer forecast first-quarter and 2015 sales below estimates, hurt by U.S. West Coast port disruptions. Fourth-quarter sales fell 6.5 percent to $98 million, missing analysts' average estimate on weak demand and port disruptions.

** ENLINK MIDSTREAM PARTNERS LP, $24.6, -8.62 pct

The oil and gas pipeline operator announced an offering of 22.8 million units by a subsidiary of Devon Energy Corp priced at $25.71 per unit.

The offering, which is at a discount of 4.5 percent to the stock's Tuesday close, represents 9.3 percent of E nLink's total outstanding shares.

UBS (NYSEArca: FBGX - news) downgraded Advanced Micro Devices to "sell" from "neutral".

Semis down 3.3 percent and lead losses as the tech sector backpedals and drags the S&P500 and the Nasdaq lower.

The Chinese solar panel maker reported a bigger-than-expected quarterly loss, reflecting a drop in selling prices and the yuan's strength against the yen and euro.

** NATIONSTAR MORTGAGE HOLDINGS INC, $26.57, -14.68 pct

The mortgage servicer said it is offering 17.5 mln shares, which represents about 19 percent of the company's outstanding stock.

** VBL THERAPEUTICS, $7, +25.33 pct

The Israel-based company said a mid-stage study of its experimental brain cancer drug met the main goal of increasing overall survival.

** NOVAVAX INC (NasdaqGS: NVAX - news) , $8.215, -11.19 pct

The vaccine maker said on Tuesday it would offer its common stock to raise $175 million, but it did not disclose size and pricing of offering. Novavax said it would use the net proceeds to develop its lead experimental vaccine and other products, and for general corporate purposes.

** STAMPS.COM INC, $67.4029, +15.61 pct

B. Riley raises price target on the stock to $64 from $48 and Craig-Hallum raises to $70 from $57, citing the company's move to buy Endicia.

The company said on Tuesday that it would buy online shipping business Endicia from Newell Rubbermaid Inc (NYSE: NWL - news) for $215 million in cash.

United States Steel Corp said it would consolidate its North American flat-rolled operations and temporarily idle its operations in Granite City, Illinois, due to weak demand and falling prices.

** SUNCOKE ENERGY INC (NYSE: SXC - news) , $15.36, -8.95 pct

The coke producer's customer United States Steel Corp temporarily idles operations at Granite City, Illinois.

SunCoke supplies coke to U.S. Steel's Granite City works under a contract until 2025.

** LIME ENERGY CO (NasdaqCM: LIME - news) , $3.28, +19.27 pct

The energy efficiency service provider said it acquired EnerPath, a developer of utility energy efficiency software. The acquisition will add to Lime earnings in 2015, Lime said.

** REX AMERICAN RESOURCES CORP, $62.18, +7.88 pct

The ethanol and natural gas producer said fourth-quarter profit attributable to Rex shareholders rose to $2.55 per share from $1.95 per share a year earlier.

** TURKCELL, $13.28, +5.40 pct

The company's shareholders, including Sweden's TeliaSonera AB plan to push for $1.5 billion dividend, the first in five years, at a meeting this week.

** TURQUOISE HILL RESOURCES (Toronto: IVN.TO - news) , $2.92, -5.19 pct

Analysts at CIBC cut price target on the stock to C$4 from C$4.50, citing ongoing negotiations with the Mongolian government. Turquoise Hill is a unit of Rio Tinto Plc (LSE: RIO.L - news) , which is in dispute with the government over cost reruns at the Oyu Tolgoi copper mine.

The drugmaker said the U.S. Food and Drug Administration approved its treatment for inhaled anthrax, triggering a $7 million milestone payment from the Department of Health and Human Services.

The payroll processor's expenses rose 10 percent in the third quarter, mainly due to higher compensation costs. Paychex said compensation-related expenses increased 9 percent due to higher employee benefit-related costs and rise in sales headcount.

** IDREAMSKY TECHNOLOGY LTD, $7.11, -5.83 pct

J.P. Morgan cuts rating on the stock to "neutral" from "overweight" and cuts price target to $9 from $24, citing the company's weak fourth-quarter results.

** KCAP FINANCIAL INC (NYSE: KAP - news) , $6.8415, -4.71 pct

The business development company cut its quarterly dividend to 21 cents per share from 25 cents

Keefe, Bruyette & Woods cut price target to $8 from $8.75. "Dividend reduction may provide guidance on earnings post accounting change," KBW said in note.

** TESLA MOTORS INC (Xetra: A1CX3T - news) , $195.14, -3.26 pct

Brokerage CLSA cuts rating on the stock to "underperform" from "outperform" and price target to $220 from $275, according to Theflyonthewall.com.
