Re: Cancellation of Listing

The Directors of Henderson Total Return Fund Limited ("the Fund") wish to announce that they have applied to the Irish Stock Exchange to delist the Class A Voting USD Shares, Class A Voting Euro Shares and Class A Voting Sterling Shares (the "Shares") of the Fund.

Application has been made for the Shares of the Fund to be removed from the Official List of the Irish Stock Exchange and from trading on the Main Securities Market of the Exchange and the Irish Stock Exchange has agreed that the Fund will be delisted with effect from 06 February, 2012
