Transaction with Gazprombank (Open Joint-Stock Company)
Moscow, March 26, 2012 - Open Joint Stock Company "INTER RAO UES (MCX: IUES.ME - news) " ("INTER RAO UES", "Company", ticker on MICEX-RTS, LSE (Reg S): IRAO; on LSE (Rule 144 A): IRAA), the largest diversified utilities holding in Russia, announces that on March 23, 2012 INTER RAO UES ("Guarantor") has executed an Additional Agreement #1 to the Guarantee Agreement with Gazprombank ("Creditor") #399-R-P as of February 1, 2012.
Under the said Additional Agreement #1 as of March 23, 2012 Gazprombank ("Creditor") has an unconditional and irrevocable right to make debiting by way of orders for collection (without further orders of the Guarantor) from the accounts opened to INTER RAO UES ("Guarantor") by the Gazprombank ("Creditor"), in an amount sufficient for the proper fulfillment by INTER RAO Credit B.V. ("Borrower"), a company wholly owned by INTER RAO UES and registered under the laws of the Netherlands, of the obligations to return to Gazprombank ("Creditor") a credit amount and /or to pay interest on the loan and / or to perform other obligations set forth in the aforesaid Guarantee Agreement # 399-P-P as of February 1, 2012.
Additional Agreement #1 as of March 23, 2012 is considered a related party transaction for INTER RAO UES pursuant to legislation of the Russian Federation and has been approved by its Extraordinary General Meeting of Shareholders on February 15, 2012.
