Total Voting Rights

Legal ∓ General Group Plc (the "Company") announces, in compliance with its obligations under Rules 5.6.1R and 5.6.2G of the Disclosure and Transparency Rules, that:

As at 30 April 2012:

· the Company's capital consisted of 5,873,643,144 Ordinary shares of 2.5p each, with voting rights;

· the Company does not hold any shares in Treasury; and

· the total number of voting rights in the Company is 5,873,643,144.

The above figure of 5,873,643,144 may be used by shareholders as the denominator for the calculations by which they can determine whether they are required to notify their interest in, or a change of their interest in, the Company under the FSA Disclosure and Transparency Rules.
