Reference is made to that certain Indenture dated as of May 24, 2007 (as amended, modified or supplemented, the "Indenture") among MAC Capital, Ltd. (the "Issuer") and Wells Fargo Bank, National Association, as Trustee (the "Trustee"). Capitalized terms used herein without definition shall have the meaning given to such terms in the Indenture.

Reference is further made to that certain Notice of Proposed First Supplemental Indenture dated as of January 23, 2012 wherein the Trustee, among other things, provided notice of a proposed amendment to the Indenture pursuant to Section 8.1(h) of the Indenture (the "First Supplemental Indenture").

Pursuant to Section 8.1 of the Indenture, the Trustee hereby provides notice of the execution of the First Supplemental Indenture dated as of February 6, 2012. A copy of the executed First Supplemental Indenture is attached hereto as Schedule B.

This Notice of Executed First Supplemental Indenture constitutes the notice required by Section 8.1 of the Indenture.
