Acquisition of Aeromedic Innovations
UMECO (LSE: UMC.L - news) plc, a leading international provider of value-added services, components and composite materials primarily to the aerospace ∓ defence industry, announces thatits Repair and Overhaul division subsidiary AEM Limited ("AEM (Taiwan OTC: 4939.TWO - news) ") has acquired the entire share capital of Aeromedic Innovations Limited ("Aeromedic Innovations") from Mr Lawrence Harding, its founder and sole shareholder.
Aeromedic Innovations supplies, maintains and overhauls on-board medical kits and therapeutic oxygen equipment principally to airlines. The business is highly complementary to AEM's safety equipment business unit, which manufactures the oxygen equipment sold by Aeromedic Innovations.
Aeromedic Innovations is based in Uxbridge and employs 12 staff including Mr Harding who will remain with the company.
The purchase price is £2.1 million payable in cash on completion. Additional consideration of up to £0.7 million is payable based on the performance of Aeromedic Innovations in the year ending 31 March 2006.
