** Co says its offer for US ventilation and home security products maker Nortek (NasdaqGS: NTK - news) not bettered as of Aug. 6; says all anti-trust conditions satisfied

** Co says shareholder resolutions regarding Nortek deal and 1.66 bln stg rights issue passed "almost unanimously"; expects deal to close on Aug 31

** Biggest one-day rise for stock since July 6, day co offered to buy Nortek ; just 7% below all-time (intraday) high set on July 19

** Deal will give co access to Nortek's large exposure to the North American ventilation and home security products market

** More than 40 pct of 30-day average volume gone through

** Up to Friday's close, stock more than doubled YTD v 3.5 pct increase on FTSE Small Cap Index
