Countrywide accepts Connells second sweetened buyout offer

(Reuters) -Real estate agent Countrywide said on Thursday it had agreed to Connells Ltd's sweetened buyout proposal after the realty management firm raised its offer for the second time, outbidding private equity firm Alchemy.

The offer of 395 pence per share, revised from the initial proposal of 250 pence a share, gives the British company an enterprise value of about 223.1 million pounds ($304.06 million).

The all-cash offer represents a premium of 14% to Countrywide stock's last close on Wednesday. Shares in the company jumped 12.6% to 389.6 pence in early trade.

"We have been encouraged by their (Connells') recognition of the need to put in place a sustainable capital structure and a willingness to support the company, which is a great business that has been constrained by too much debt," Countrywide's acting non-executive chairman, David Watson, said.

Countrywide, which rejected Connells' initial approach last month, has been struggling to recover from a botched 2015 restructuring that led to several profit warnings and a deeply discounted share issue.

Bedfordshire-based Connells raised the bid to 325 pence per share earlier this month, prompting Countrywide to evaluate the offer.

Alchemy had earlier approached Countrywide with an offer for its existing investors to sell their shares at 250 pence apiece and a 70-million-pound recapitalisation plan.

Alchemy did not immediately respond to a Reuters request for a comment.

The company is expected to report a per-share loss in both fiscal 2021 and 2022. To get a price-earnings multiple it’s necessary to look two years into the future, where the P/E is around 58.The stock surged as high as $115.97 in Monday trading, at one point triggering a trading halt. It traded at $112.12 as of 10:23 a.m. in New York.While Wall Street may have no clue what GameStop shares are worth, it does have ideas on what the company should do with them: sell.“GameStop can issue equity and should sell stock to pay down debt,” said Wedbush Securities Inc. analyst Michael Pachter, who had a price target of $16 for GameStop as of Jan. 11. Doing so would involve “minimal dilution at these levels” and provide protection against an economic downturn. “They should do as much as the market will absorb,” he said.Separately, Telsey Advisory Group analyst Joseph Feldman double-downgraded the stock to underperform from outperform on Monday, removing GameStop’s only buy-or-equivalent recommendation.Bullish OptionsWhatever the future holds, the recent past has been a bonanza for anyone who dared own the stock -- or, even better, bullish options. Calls expiring Jan. 29 with a strike price of $115 were the most-traded GameStop contract early Monday.     The International Monetary Fund views climate change as a fundamental risk to economic and financial stability, its chief said on Monday, mapping out the IMF's plans to help focus investments in green technologies that will boost global growth. IMF Managing Director Kristalina Georgieva told the Climate Adaptation Summit that global economic output could expand by 0.7% over the next 15 years and millions of jobs could be created if carbon prices rose steadily and investments expanded in green infrastructure. "We see climate as a fundamental risk for economic and financial stability, and we see climate action as an opportunity to reinvigorate growth, especially after the pandemic, and to generate new green jobs," Georgieva said.

    US biotechnology firm Moderna on Monday said lab studies showed its Covid-19 vaccine would remain protective against variants of the coronavirus first identified in the United Kingdom and South Africa. But out of caution, the company will test adding a second booster of its vaccine – to make three shots in total – and has begun preclinical studies on a booster specifically for the South African variant."We are encouraged by these new data, which reinforce our confidence that the Moderna Covid-19 Vaccine should be protective against these newly detected variants," said Stephane Bancel, Moderna's CEO."Out of an abundance of caution and leveraging the flexibility of our mRNA platform, we are advancing an emerging variant booster candidate against the variant first identified in the Republic of South Africa into the clinic."To study the impact of the existing vaccine, called mRNA-1273, Moderna took blood samples from eight people who had received two doses of the vaccine, and two primates that had also been immunized.For the B.1.1.7 variant, first identified in the UK, there was no impact on the level of neutralizing antibodies – which bind to the virus and prevent it from invading human cells – that were produced by the shots.But for the South African variant, B.1.351, there was a sixfold reduction in the neutralizing antibody level.Even so, it remained above the quantity that was shown to be protective in earlier tests on primates that were infected on purpose.The company, which carried out the studies with the National Institutes of Health, has submitted the study to a preprint server so it can be analyzed by the wider scientific community.(AFP)
