Final acceptance rate of the voluntary public takeover offer for Deutsche EuroShop AG by Oaktree and CURA amounts to approximately 64.36 percent

 

  • The additional acceptance period ended on 26 July 2022 at midnight (CEST)

  • Approximately 64.36 percent of the total share capital of Deutsche EuroShop had been tendered into the offer at the end of the additional acceptance period

  • Settlement of the offer for the shares tendered during the additional acceptance period is expected to take place on 10 August 2022

 

29 July 2022 – London & Hamburg – Today, a consortium of private investment funds managed by Oaktree Capital Management, L.P. and CURA Vermögensverwaltung, the family office of the Otto family and parent company of ECE Group, through the bidder Hercules BidCo GmbH, which is indirectly controlled by the consortium, announced that the public takeover offer for Deutsche EuroShop was accepted for a total of 39,761,823 shares of Deutsche EuroShop AG (ISIN: DE 000 748 020 4; WKN 748020) at the end of the additional acceptance period at midnight (CEST) on 26 July 2022. This corresponds to approximately 64.36 percent of the outstanding shares.

There will be no further acceptance period, therefore the public takeover offer ended on 26 July 2022.

Together with the shares held by the controlling shareholder of CURA Vermögensverwaltung, Alexander Otto, and entities controlled by him including CURA Vermögensverwaltung (who in total hold approximately 20 percent of Deutsche EuroShop’s share capital), the total number of shares attributable to the bidder at the end of the additional acceptance period amounts to approximately 84.38 percent of the total share capital of Deutsche EuroShop.
