This Insider Has Just Sold Shares In LendingTree, Inc. (NASDAQ:TREE)

Anyone interested in LendingTree, Inc. (NASDAQ:TREE) should probably be aware that the Lead Independent Director, Steven Ozonian, recently divested US$354k worth of shares in the company, at an average price of US$363 each. That sale was 22% of their holding, so it does make us raise an eyebrow.

LendingTree Insider Transactions Over The Last Year

Over the last year, we can see that the biggest insider sale was by the Chief Financial Officer, J. Moriarty, for US$1.8m worth of shares, at about US$395 per share. So we know that an insider sold shares at around the present share price of US$362. We generally don't like to see insider selling, but the lower the sale price, the more it concerns us. In this case, the big sale took place at around the current price, so it's not too bad (but it's still not a positive).

Does LendingTree Boast High Insider Ownership?

I like to look at how many shares insiders own in a company, to help inform my view of how aligned they are with insiders. A high insider ownership often makes company leadership more mindful of shareholder interests. LendingTree insiders own about US$666m worth of shares (which is 14% of the company). This kind of significant ownership by insiders does generally increase the chance that the company is run in the interest of all shareholders.

So What Do The LendingTree Insider Transactions Indicate?

Insiders sold LendingTree shares recently, but they didn't buy any. And even if we look to the last year, we didn't see any purchases. While insiders do own a lot of shares in the company (which is good), our analysis of their transactions doesn't make us feel confident about the company.
