Lam Research Insiders Sell US$10m Of Stock, Possibly Signalling Caution \

Over the past year, many Lam Research Corporation (NASDAQ:LRCX) insiders sold a significant stake in the company which may have piqued investors' interest. When evaluating insider transactions, knowing whether insiders are buying versus if they selling is usually more beneficial, as the latter can be open to many interpretations. However, if numerous insiders are selling, shareholders should investigate more.

While insider transactions are not the most important thing when it comes to long-term investing, we do think it is perfectly logical to keep tabs on what insiders are doing.

The Last 12 Months Of Insider Transactions At Lam Research

The Executive VP & CFO, Douglas Bettinger, made the biggest insider sale in the last 12 months. That single transaction was for US$10m worth of shares at a price of US$443 each. That means that even when the share price was below the current price of US$530, an insider wanted to cash in some shares. We generally consider it a negative if insiders have been selling, especially if they did so below the current price, because it implies that they considered a lower price to be reasonable. However, while insider selling is sometimes discouraging, it's only a weak signal. This single sale was just 20% of Douglas Bettinger's stake.

Insider Ownership

I like to look at how many shares insiders own in a company, to help inform my view of how aligned they are with insiders. A high insider ownership often makes company leadership more mindful of shareholder interests. It's great to see that Lam Research insiders own 0.3% of the company, worth about US$239m. This kind of significant ownership by insiders does generally increase the chance that the company is run in the interest of all shareholders.

There haven't been any insider transactions in the last three months -- that doesn't mean much. It's great to see high levels of insider ownership, but looking back over the last year, we don't gain confidence from the Lam Research insiders selling.
