Metalcorp Group signs exclusivity agreement for potential financing transaction with Ad Hoc Group representing approx. 45% of its 2026 Notes

Luxembourg, 22 November 2022 – Metalcorp Group S.A. informs that the Company has signed an agreement with certain holders (the “Ad Hoc Group”) of its 8.5% notes due 2026 (the “2026 Notes”), which among other matters, grants the members of the Ad Hoc Group an exclusive right to enter into a potential financing transaction with the Company during an exclusivity period ending eight weeks after the delivery of the results of an internal business review expected to be delivered in December 2022 (the “Exclusivity Agreement”). For a further period from the end of the exclusivity period until 31 May 2023 the Ad Hoc Group will have the ability to provide financing if the company considers their terms are better than alternative financing proposals received within that period. Violation of key terms of the agreement may trigger a penalty payment which constitutes financial indebtedness. Details of the financing as well as its volume are yet to be agreed.
