Ad hoc announcement pursuant to Art. 53 Listing Rules of SIX Swiss Exchange

Zug, July 27, 2022 - The closing of the combination between the Schleuniger Group and the Komax Group was conditional on the clearances of the relevant competition authorities. These have now been granted, so that the closing is planned for August 30, 2022. 

The combination of the Schleuniger Group and the Komax Group, which was announced on February 9, 2022, represents a further milestone in the ongoing implementation of the strategy of Metall Zug AG.

Metall Zug will spin off its Wire Processing Business Unit, the Schleuniger Group, into the Komax Holding AG and, in return, obtain a stake in Komax Holding AG of 25%. Metall Zug AG and Komax Holding AG had signed a corresponding agreement on February 8, 2022. 

In connection with this combination, the Annual General Meeting of Komax Holding AG on April 13, 2022, approved a capital increase in order to create 1,283,333 new shares, which will be allocated to Metall Zug AG. Until now, the completion of the combination was subject to the clearances of the relevant competition authorities.

These clearances of the relevant competition authorities have now been granted, so that the closing is planned for August 30, 2022. The Schleuniger Group will be fully consolidated in the consolidated financial statements of the Metall Zug Group presumably until August 31, 2022. From September 1, 2022, Metall Zug AG's interest in the Komax Group's net result will be reported in the financial result.
