On today's Q&A, seems Sam runs circles around Dave in terms of informative answers and enthusiasm. After Vik's purchase in Romania, they stressed the great engineers they have and constantly recruit in Romania from the universities (of course no mention in 2 yrs), now today again about the great engineers they're acquiring. Looks like its more about buying 300 enterprise customers. Where will this 125 mil cash come from? Is this focusing on shareholder value? Just more waiting as the pps plummets.

Ericsson to acquire Vonage for USD 6.2 billion to spearhead the creation of a global network and communication platform for open innovation

Ericsson enters into agreement for USD 6.2 billion cash offer to acquire Vonage, a global provider of cloud-based communications, with unanimous approval of the Vonage Board of Directors
Acquisition underlines Ericsson strategy to expand its presence in wireless enterprise and broaden its global offerings
Robust performance and growth prospects are built on Vonage Communications Platform (VCP), which delivers about 80% of Vonage’s total revenues and, serves more than one million registered developers globally
Transaction expected to be accretive to Ericsson’s EPS (excluding non-cash amortization impacts) and free cash flow before M&A from 2024 onwards
Closing expected in the first half of 2022, subject to Vonage shareholder approval, regulatory approvals, and other customary conditions

Ericsson (NASDAQ: ERIC) has entered into an agreement to acquire Vonage Holdings Corp. (NASDAQ: VG) for USD 21 per share. This represents a total acquisition price of approximately USD 6.2 billion (Enterprise Value).

The merger agreement was approved unanimously by the Board of Vonage. The transaction builds upon Ericsson’s stated intent to expand globally in wireless enterprise, offering existing customers an increased share of a market valued at USD 700 billion by 2030.

Börje Ekholm, President and CEO of Ericsson, says: “The core of our strategy is to build leading mobile networks through technology leadership. This provides the foundation to build an enterprise business. The acquisition of Vonage is the next step in delivering on that strategic priority. Vonage gives us a platform to help our customers monetize the investments in the network, benefitting developers and businesses. Imagine putting the power and capabilities of 5G, the biggest global innovation platform, at the fingertips of developers. Then back it with Vonage’s advanced capabilities, in a world of 8 billion connected devices. Today we are making that possible.”

“Today Network APIs are an established market for messaging, voice and video, but with a significant potential to capitalise on new 4G and 5G capabilities. Vonage’s strong developer ecosystem will get access to 4G and 5G network APIs, exposed in a simple and globally unified way. This will allow them to develop new innovative global offerings. Communication Service Providers will be able to better monetize their investments in network infrastructure by creating new API driven revenues. Finally, businesses will benefit from the 5G performance, impacting operational performance, and share in new value coming from applications on top of the network.”

Rory Read, CEO of Vonage, says: “Ericsson and Vonage have a shared ambition to accelerate our long-term growth strategy. The convergence of the internet, mobility, the cloud and powerful 5G networks are forming the digital transformation and intelligent communications wave, which is driving a secular change in the way businesses operate. The combination of our two companies offers exciting opportunities for customers, partners, developers and team members to capture this next wave.”

“We believe joining Ericsson is in the best interests of our shareholders and is a testament to Vonage’s leadership position in business cloud communications, our innovative product portfolio, and outstanding team.”

For Ericsson, the acquisition builds on the success of the integration of Cradlepoint in September 2020. Cradlepoint has continued to develop strongly under Ericsson’s ownership.

Vonage and the Vonage Communications Platform (VCP)

Vonage, a global provider of cloud-based communications, has a strong track record of growth and margin evolution. Sales were USD 1.4 billion in the 12-month period to 30 September 2021, and over the same period, Vonage delivered an adjusted EBITDA margin of 14% and free cash flow of USD 109 million.

The cloud-based Vonage Communications Platform (VCP) serves over 120,000 customers and more than one million registered developers globally. The API (Application Programming Interface) platform within VCP allows developers to embed high quality communications - including messaging, voice and video - into applications and products, without back-end infrastructure or interfaces. Vonage also provides Unified Communications as a Service (UCaaS) and Contact Center as a Service (CCaaS) solutions as part of the Vonage Communications Platform.

VCP accounts for approximately 80% of Vonage’s current revenues and delivered revenue growth in excess of 20% in the three-year period to 2020, with adjusted EBITDA margins moving from -19% in 2018 to break-even in the 12-month period to 30 September 2021. Vonage’s management team projects annual growth of over 20% for VCP in the coming years.

More spot lights needed to zero in here. Not sure if 8 offers anything to 5G offering, but if Vg did why not 8? 8 seems to be the only bargain in the sector - we will see if this platform has any worth or not. If more light is shinned here would we see Reddit type action? Don't think 8 will sell for less than 35, but then again, didn't think Vg would sell for 21 when they had 26 price targets....the sad part is we all could've had 38+ in Feb and shorts don't seem to be too concerned - yet.

10 days ago, J.P. Morgan said "There’s Room for Over 50% Gains in Vonage"

Wall Street’s major banking firms build their reputations, in part, on their ability to see the dark future clearly. JPMorgan has a storied name on the Street, and the banking giant’s Asset Management team has recently been casting its collective eye forward.

"We are increasingly convinced that the pandemic will leave behind few economic scars, however we expect the policy interventions at the height of the crisis will have a long-lasting impact on markets... Our overall message is optimistic," said John Bilton, head of global multi-asset strategy.

Keeping that in mind, we’re taking a look at two stocks recommended by some of JPMorgan's top analysts. These are analysts who stand tall among their peers, ranking in the top 10% of Wall Street pros covered by TipRanks. Impressively, the firm's analysts believe each ticker could climb over 50% higher in the year ahead. Let's take a closer look.

    Vonage Holdings (VG)

The second JPM pick we’ll look at is Vonage, a tech company in the telecom industry. Vonage has put together a package combining high tech know-how with telecom service, and offers its customers VOIP and cloud communications for contact center applications and communications APIs.

Vonage is working to change the way people think about using communications technology. The company noted the shift toward remote work and virtual connections during the pandemic – and especially how that increased the value of networked remote systems and internet communications. Vonage’s products include platforms to bundle these services together, along with legacy telecom systems. These products are flexible and scalable, designed to meet the needs of each customer.

The approach is working for Vonage, which has shown sequential gains in every quarter of this year, along with year-over-year gains. The 3Q21 report gave $358.3 million at the top line, and for the 9 months ending Sept 30, the company reported $1.04 billion in revenues. The 3Q revenue was up 12% you, and the 9-month total was also up 12%. These gains were driven by VCP revenue, which was up 25%, and API revenue, which gained 43%.

Vonage predicts plenty of future opportunity, at least in part due to pandemic related changes in customer engagement. According to a company study, many of the communications tech changes which the corona crisis pushed forward are likely to permanent – and customer do not see this as a bad thing. In fact, 47% of global consumers reported increasing their use of digital channels for business engagement in the last year-and-a-half, and 87% expect to maintain the higher level of digital engagement, or increase it, in the coming year.

So it should come as no surprise that JPMorgan's 5-star analyst Sterling Auty has upgraded VG shares, from Neutral to Overweight (i.e. Buy).

Backing his stance, Auty writes: “The company’s transformation efforts are still underway as it pertains to honing the product and channel focus, but VCP now represents 80% of total revenue and all signs point to further execution in this area of the business. Despite the fact that communications names have greatly underperformed the software space year-to-date, Vonage is trading at 3.4x EV/Sales which still represents a significant discount to peers. This discount coupled with improving fundamentals underpin our belief that Vonage will continue to see outsized performance going forward.”

In line with this upbeat outlook, Auty puts a $26 price target on VG shares, implying an upside of 52% for the next 12 months. (To watch Auty’s track record, click here)
