    JD Sports to renew Go Outdoors after 'pre-pack' administration deal

    Go Outdoors, which JD first bought for 112 million pounds four years ago, has struggled with significant losses as sales declined at its 67 stores, and JD had been exploring options for the division while the coronavirus lockdown mounted further pressure. "As a consequence of COVID-19, Go Outdoors was no longer viable as previously structured and would have absorbed capital at an unsustainable rate for the foreseeable future," Executive Chairman Peter Cowgill said. The London-listed sports fashion retailer said it re-acquired the business and all its assets from Deloitte for 56.5 million pounds, and will begin a restructuring of the unit.

    Responding to a Sky News report https://news.sky.com/story/coronavirus-jd-owned-go-outdoors-on-brink-of-administration-12011525, the sportswear retailer said that directors of Go Outdoors had filed a notice of intention to appoint administrators with a UK court, adding that the administrators have yet to be appointed. Sky News reported on Saturday that JD had filed a notice of intention to appoint Deloitte as administrator to Go Outdoors, which employs about 2,300 people. "This notice creates an immediate moratorium around the company and its property, which lasts for ten business days," JD said in its statement.

    UK watchdog orders JD Sports to sell Footasylum

    JD said it was considering an appeal and that, in the context of coronavirus-related pressures on retailers, the decision put at risk the future of Footasylum and its 2,500 employees. The Competition and Markets Authority (CMA), which has the power to investigate and reverse already completed mergers, had warned in February it might order the April 2019 deal to be unwound. Consumers have shifted their spending online as non-essential stores have been forced to close in the coronavirus lockdown, JD Sports Chairman Peter Cowgill said, adding that when restrictions are eased it is "virtually certain" that shopper numbers will not return to pre-crisis levels.

JD Sports said it would announce preliminary results for the 12 months to Feb. 1 on July 7, after delaying it to May in the previous month. The retailer has also differed the payment of bonuses and other incentive payments for the year ended Feb. 1, adding that its board and senior management team have agreed for voluntary salary reductions of at least 25%.

JD Sports acquired Footasylum in an 86 million pound takeover completed last April but has faced scrutiny from the Competition and Markets Authority (CMA) which has said the takeover could be bad for shoppers. JD, which has valued Footasylum at up to 90 million pounds, said it would continue to make its case to the CMA ahead of a Feb. 25 deadline for new proposals from the company to remedy the concerns.
