Are Insiders Selling Zoetis Inc. (NYSE:ZTS) Stock?

We've lost count of how many times insiders have accumulated shares in a company that goes on to improve markedly. The flip side of that is that there are more than a few examples of insiders dumping stock prior to a period of weak performance. So shareholders might well want to know whether insiders have been buying or selling shares in Zoetis Inc. (NYSE:ZTS).

What Is Insider Selling?

Most investors know that it is quite permissible for company leaders, such as directors of the board, to buy and sell stock in the company. However, most countries require that the company discloses such transactions to the market.

But logic dictates you should pay some attention to whether insiders are buying or selling shares. Zoetis Insider Transactions Over The Last Year

The Executive VP, Heidi Chen, made the biggest insider sale in the last 12 months. That single transaction was for US$1.5m worth of shares at a price of US$95.49 each. That means that an insider was selling shares at slightly below the current price (US$128). When an insider sells below the current price, it suggests that they considered that lower price to be fair. That makes us wonder what they think of the (higher) recent valuation. However, while insider selling is sometimes discouraging, it's only a weak signal. It is worth noting that this sale was 52.9% of Heidi Chen's holding.

In the last twelve months insiders netted US$3.6m for 37073 shares sold. In the last year Zoetis insiders didn't buy any company stock. Insiders at Zoetis Have Sold Stock Recently

Over the last three months, we've seen significant insider selling at Zoetis. In total, insiders dumped US$722k worth of shares in that time, and we didn't record any purchases whatsoever. In light of this it's hard to argue that all the insiders think that the shares are a bargain.

Insider Ownership

Another way to test the alignment between the leaders of a company and other shareholders is to look at how many shares they own. Usually, the higher the insider ownership, the more likely it is that insiders will be incentivised to build the company for the long term. It appears that Zoetis insiders own 0.08% of the company, worth about US$51m. While this is a strong but not outstanding level of insider ownership, it's enough to indicate some alignment between management and smaller shareholders.
