Team Tankers International Ltd. : Information Memorandum

Reference is made to the stock exchange announcement made by Team Tankers International Ltd ("Team Tankers" or the "Company) on 28 February 2018 regarding the Company`s agreements to acquire all of the outstanding shares in each of Laurin Shipping AB and Anglo-Atlantic Steamship Company Ltd (the "Transaction").

Please find attached a memorandum prepared in order to provide additional information about the Transaction and the Team Tankers group following the Transaction.

The Transaction is expected to close on or before 6 April 2018, upon which between 17 - 21 million new shares are expected to be issued as part of the consideration payable for Anglo-Atlantic Steamship Company Ltd.

The information memorandum is published as required under Section 3.5 of the Oslo Børs` Continuing Obligations for Listed Companies, and also serves as a prospectus equivalent document for the listing of such new shares, pursuant to the Norwegian Securities Trading Act section 7-4 (6).
